Terms of Service

1. Agreement to Terms

By accessing or using DocuMemory (“Service”), operated by Black Light Logic LLC (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

DocuMemory provides software-as-a-service (SaaS) platform tools designed to aggregate, organize, search, and synchronize chat prompt histories, Model Context Protocol (MCP) data, and AI interactions across multiple platforms into a central dashboard.

3. Eligibility & Account Registration

  • You must be at least 18 years old or the legal age of majority in your jurisdiction to register for an account.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

4. User Content & Intellectual Property Rights

  • Your Data: You retain all ownership rights to the prompts, chat logs, text, files, and context data you upload or integrate into DocuMemory (“User Data”).
  • License to Process: You grant DocuMemory a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display User Data solely to the extent necessary to provide, maintain, and optimize the Service for you.
  • Company Intellectual Property: DocuMemory, including its visual design, dashboard interface, proprietary indexing algorithms, Model Context Protocol integration layers, codebases, and trademarks, is the exclusive property of the Company. You are granted a limited, revocable, non-transferable access right to use the platform.

5. Billing, Subscriptions, and Payments

  • Subscriptions: Certain features of DocuMemory require a paid subscription. Billing cycles are charged on a recurring monthly or annual basis via our payment processor, Stripe.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date through your account dashboard or Stripe customer portal.
  • Refunds: All payments are non-refundable except where required by applicable law or explicitly stated in writing at the time of purchase.

6. Acceptable Use Policy

You agree not to use the Service to:

  1. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  2. Bypass, exploit, or circumvent API rate limits, authentication barriers, or security controls.
  3. Upload, transmit, or index data that contains malware, malicious code, or illegal content.
  4. Attempt automated web scraping, data mining, or unauthorized extraction from our platform servers.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy immediately and without prior notice.

7. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including fitness for a particular purpose, uptime, or error-free operation. We do not guarantee uninterrupted access to third-party Large Language Model APIs or external Model Context Protocol endpoints.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. The total aggregate liability of the Company for any claims arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to the Company in the twelve (12) months preceding the event giving rise to liability.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Dakota, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Ward County, North Dakota.
